Curae Health acquires OMNI Dental
Moray & Agnew has advised Curae Health Group on its acquisition of OMNI Dental.
Firms: Moray & Agnew (Curae Health Group); Undisclosed (OMNI Dental)
Value: $15 million
Area: Merger and acquisition
Key players: The Moray & Agnew team was led by special counsel Eric Ho, who was supported by lawyer Emilie van Baalen and also assisted by senior associate Cristian Apolloni and paralegal Bronson Smorgon.
Special counsel Julie Ngan acted in relation to the acquisition financing and related security arrangements.
Deal significance: Headquartered in Melbourne, Curae Health Group is a leading dental services provider specialising in providing midstream services in connection with custom-made prostheses and dental radiology.
Meanwhile, OMNI Dental is a Perth-based laboratory business focusing on the same and provides proprietary end-to-end digital implant technology, with substantially all of its revenue derived from its West Australian client base.
“The acquisition is expected to enable Curae Health Group to expand its product offering to other locations across Australia, including Western Australia, and integrate OMNI Dental’s end-to-end digital implant technology with Curae Health Group’s existing customer base across the Australian eastern seaboard,” a statement from Moray & Agnew explained.
Commenting further, special counsel Eric Ho said: “We thank Curae Health Group for the opportunity to assist in this transaction. It has been a pleasure to work with the founders, management and other key stakeholders along the way.
“This acquisition is a great result for the Curae Health team and facilitates the development of their strong business and brand. The transaction timeline and evolving circumstances gave rise to challenges for which we were able to guide the parties towards solutions. We look forward to assisting Curae Health Group with the ongoing implementation of its corporate strategy.”
