Firm: Hall & Wilcox (Caraniche)

Deal: Caraniche has been advised on its sale to WISE Employment. The Hall & Wilcox team provided legal support to Caraniche through all aspects of the sale process, including advising on the sale agreement, employment arrangements, IP issues, customer consents and various arrangements between the shareholders.

Area: Corporate

Value: Not disclosed

Key players: The Hall & Wilcox team was led by partner Deborah Chew, supported by special counsel James Bull and lawyer Michael Henderson.

Partner Karl Rozenbergs and senior associate Alexandra Gallagher led the employment aspects of the transaction.

Deal significance: The sale, Hall & Wilcox said in a statement, is a great outcome for the Caraniche shareholders and will allow WISE Employment to significantly extend the services it offers.

The firm worked closely with corporate adviser EM Advisory, led by Natasha Mandie, who ensured that the Caraniche shareholders received collaborative, effective and seamless transaction advice.

Ms Chew said the deal was a great example of clients wanting to work with a legal firm that genuinely shared its values.

“Our firm’s purpose ‘to enable our clients, our people and our communities to thrive’ almost mirrors Caraniche’s commitment to building ‘connections that better lives’,” she said.

“Sharing an overarching objective between our teams and with our clients beyond the mechanics of a transaction is what sets us apart and enables us to build lasting relationships while delivering quality advice and excellent outcomes.”
