Firm: Herbert Smith Freehills (Carbon Revolution Limited)

Deal: HSF is advising Carbon Revolution, which is based in Geelong as listed on the ASX, on the Australian law aspects of its proposed merger with Twin Ridge Capital Acquisition Corp, a special purpose acquisition company listed on the New York Stock Exchange.

The transaction marks only the second time, the firm said in a statement, that a “de-SPAC” transaction has been announced with an Australian listed company as the target and is expected to complete in the first half of 2023.

Area: Merger and acquisition

Value: $300 million

Key players: The HSF team is being led by partner Alex Mackinnon, with the support of partner Michael Ziegelaar, executive counsel Cecilia Mehl, senior associate Jessica Voong, and solicitors Nick Gillies and Bevan Wang.

Deal significance: Mr Mackinnon said: “We are delighted to be advising Carbon Revolution, a client we have advised since its pre-IPO raise and IPO in 2019, on this complex cross-border transaction, being only the second de-SPAC transaction for a listed company ever announced in the Australian market. We look forward to continuing to advise Carbon Revolution on the transaction.”
