Global technology company Carbon Revolution Limited is being advised on the Australian law aspects of its proposed merger with Twin Ridge Capital Acquisition Corp, a special purpose acquisition company listed on the New York Stock Exchange.

Firm: Herbert Smith Freehills (Carbon Revolution Limited)
Deal: HSF is advising Carbon Revolution, which is based in Geelong as listed on the ASX, on the Australian law aspects of its proposed merger with Twin Ridge Capital Acquisition Corp, a special purpose acquisition company listed on the New York Stock Exchange.
The transaction marks only the second time, the firm said in a statement, that a “de-SPAC” transaction has been announced with an Australian listed company as the target and is expected to complete in the first half of 2023.

Deal significance: Mr Mackinnon said: “We are delighted to be advising Carbon Revolution, a client we have advised since its pre-IPO raise and IPO in 2019, on this complex cross-border transaction, being only the second de-SPAC transaction for a listed company ever announced in the Australian market.
