Triple Flag acquires Maverix Metals

International law firm Allens has advised Triple Flag Precious Metals Corp on its acquisition of Maverix Metals.

Deal: Triple Flag Precious Metals Corp (Triple Flag) has entered into a definitive agreement to acquire all of the issued and outstanding common shares of Maverix Metals (Maverix). The deal is pursuant to a plan of arrangement.

Value: US$606 million

Area: Merger and acquisition

Key players: The Allens team was led by partner Mark McAleer, with support from managing associate Jay Prasad, senior associate Rob Merriam, associate Jesse Lines, and lawyers Emma Tirabosco and Lennard Bremer.

Deal significance: Triple Flag is described as a growing, gold-focused royalty and streaming company. 

Meanwhile, Maverix Metals is described as an emerging gold royalty and streaming company, whose business model provides investors with lower risk exposure to gold.

According to a statement from Allens, this acquisition will help position Triple Flag as the leading emerging senior streaming and royalty company.

“We are delighted to have assisted longstanding client Triple Flag on this transformative acquisition,” Allens lead partner Mark McAleer said.

“Combining the two companies’ portfolios across the Americas, Australia and elsewhere will solidify Triple Flag’s position as the fourth-largest senior streaming and royalty company in the world.”
