Earth Rules advised on divestment of Map Coffee business

Deal: Earth Rules has completed divestment of its Map Coffee business in Australia. 

Value: Undisclosed.

Area: Finance.

Key players: The team advising Earth Rules was led by Hall & Wilcox corporate and commercial partner Oliver Jankowsky and senior associate Chevi Levin, with assistance from lawyer Jasmine Koh.

Partner Mark Dunphy and lawyer Nhu-Thuy Dinh advised on the employment aspects of the sale, and partner Emily Kyriacou provided guidance on the property aspects.

Deal significance: Earth Rules is a subsidiary of Tata Consumer Products. The latter is described as the second-largest branded tea company in the world, and is responsible for brands such as Tata Tea, Tetley, Eight O'Clock Coffee and Tata Coffee Grand.

The divestment transaction called on Hall & Wilcox to advise on all legal aspects, including negotiating terms, drafting the transaction documents and assisting with post-completion matters.

Lead partner Mr Jankowsky noted the complexity of the matter.

“During this deal, we worked closely with local management and the General Counsel of Tata Consumer Products US to address the unique difficulties and complexities of the matter,” he noted.
