Freehills has advised Aegis Group plc (Aegis) on its $363 million acquisition of all of the shares in Mitchell Communication Group Limited (Mitchell), advised by Mallesons.
Aegis is one of the world's leading marketing communications groups with 15,000 employees in more than 80 countries around the world.
The Freehills team was led by Corporate M&A partners Andrew Pike and Stephen Dobbs, with the support of senior associates Chris Miller and Francine Kinkade, and solicitors Chris Gill and James Schoeffer. Freehills worked in conjunction with the Aegis in-house legal team, led by group general counsel Simon Zinger and supported by APAC regional counsel Nick Tomlinson, along with Aegis's UK legal advisors Slaughter & May and corporate advisory firm Greenhill Caliburn.
Pike said of the deal: "The use of a scheme of arrangement as the acquisition structure is a further example of 2010 being the 'year of the friendly deal'. The transaction also continues the trend of increasing cross border M&A."
Dobbs added: "Aegis' acquisition of Mitchell Communications had a number of complexities, including the offshore scrip element and novelties in the option arrangement with the major shareholder."
