Hastings Technology advised on multiple multimillion-dollar deals

Global law firm King & Wood Mallesons has advised the rare earths company on a number of multimillion-dollar transactions.

Hastings Technology advised on multiple multimillion-dollar deals

Firm: King & Wood Mallesons (Hastings Technology Metals Limited); Cassels Brock & Blackwell LLP (Neo Performance Materials).

Deal: Hastings Technology Metals Limited has been advised on its proposed acquisition of a 20 per cent stake in Neo Performance Materials, a proposed issue of exchangeable notes to Wyloo Metals, and a two-tranche equity placement and share purchase plan.

Value: The proposed stake acquisition of Neo Performance Materials is worth $135 million, while the proposed issue of exchangeable notes to Wyloo Metals will raise $150 million in convertible debt. The last transaction represents a two-tranche $100 million equity placement and $10 million share purchase plan.

Key players: The King & Wood Mallesons team was led by partner Heath Lewis, with assistance from solicitor Daniel Cannon and senior associate Jonathan Siu (in respect of the exchangeable notes) and partner Amanda Isouard (in respect of the equity raising).

Deal significance: The transactions come as Hastings Technology Metals Limited looks to position itself for the development of the Yangibana Rare Earths Project, providing a platform for accessing the full mine-to-magnet value chain, according to a statement provided by King & Wood Mallesons.

Commenting on the deals, partner Heath Lewis said: “These three transactions were delivered on a compressed timetable and facilitate the strategic evolution of Hastings towards a significant role in the full mine to magnet value chain. It was a fantastic transaction to work on with our client, and we look forward to further exciting developments on Hastings journey.”
