Governance institute adds 2 new directors

Two new directors have been appointed to the Governance Institute of Australia board, in a time of “significant change and growth”, according to the board chair.

Helen Hardy and Ainslie Cunningham have both joined the Governance Institute board as Tim Timchur departs his role as a director this year. 

Ms Hardy is company secretary at Origin Energy and has over 20 years’ experience in governance, financial reporting and corporate law across a number of sectors including large listed and not-for-profit. She is admitted to legal practice in NSW and is also a chartered accountant and chartered secretary. Ms Hardy is also a fellow of Governance Institute of Australia and chair of its NSW Council in addition to being a member of its Legislative Review Committee. 

“I am delighted to be joining the board and working more closely with chair Pauline Vamos and CEO Megan Motto,” she said.  

“Governance Institute is a leader in governance and risk management practices, and I feel privileged to be able to contribute to its work in this dynamic environment.” 

Ms Cunningham is a qualified company secretary, governance and risk manager, and co-founder and director of governance consulting firm 3YS Owls. She is also a fellow of Governance Institute of Australia and the Chartered Governance Institute - and said she is thrilled to be joining the board. 

“Having been a longstanding member and fellow, I am thrilled to be joining the board of Governance Institute of Australia at an exciting time to enable me to contribute from another level within the organisation,” she said. 

Governance Institute chair Pauline Vamos welcomed the two new additions to the board and thanked Mr Timchur for his dedication and hard work as an outgoing director.  

“We are delighted to welcome Helen and Ainslie, particularly at a time of significant change and growth for the Governance Institute and our members. Both new directors are highly-skilled and experienced professionals, and we look forward to a busy and productive year ahead,” she said.  

“We would like to sincerely thank Tim for his exceptional contribution to the Governance Institute and wish him all the best for the future.”
