Yum! acquires Dragontail Systems

Kentucky-headquartered Yum! Brands, Inc. is acquiring listed company Dragontail Systems, following a cross-border deal.

Firm: Baker McKenzie (Yum! Brands Inc.).

Deal: Yum! Brands is set to acquire ASX-listed company Dragontail Systems Limited by way of a share scheme of arrangement.

Value: $93.5 million.

Area: Corporate.

Key players: The Bakers team was led by partner Kate Jefferson, who was supported by Greg Smith, Eve Gallagher, Rohit Duggal, Victoria Bell and Caitlin Whale.

Deal significance: The deal spanned Australia, the US and Israel. Completion of the transaction, which is subject to a number of conditions, including court approval, Dragontail shareholder approval and receipt of various regulatory approvals and waivers, is expected to occur on or around late September 2021, Bakers said in a statement.
