Clayton Utz, led by partner Murray West, advised Australian Rail Track Corporation (ARTC) on the signing of the $1.32 billion agreement by ARTC to lease the NSW Interstate Mainline and Hunter Valley rail freight corridors. The firm said the transaction provides the “bedrock” for the overhaul of the rail freight industry in Australia.
Middletons acted for Axon Group in its $22 million sale to ASX-listed Commander Communications. The transaction involved the aggregation of several businesses by means of option contracts, with the shares in the options holders being sold by the major shareholder to a subsidiary of Commander. The Middletons team was led by capital markets partner David Syme, and included solicitors Leh Tan, Mark Chivers and Tom Wilcox.
Allens Arthur Robinson acted for Australia Post in its $10 million logistics service joint venture with China Post. The firm said Australia Post and China Post will build a transport and logistics centre in East China to deliver goods around the world from China’s expanding manufacturing base. AAR’s involvement ranged from providing strategic, high-level advice on the regulatory and business environment in China to negotiating and drafting all documentation relating to the deal. Partners Michael Cripps and Jeremy Low coordinated the deal from the firm’s Shanghai office. Lawyers in the Melbourne office, led by partner Tim Golder, worked on the IP aspects of the transaction.
