Deacons advised US telecommunications components company JDS Uniphase Inc on the structuring and completion of the sale of its laser optics manufacturing facility in Fuzhou, China, to another US corporation, Fabrinet Inc. This required the consideration of sensitive and complex Chinese regulatory issues, particularly in relation to labour law. The Chinese component of the transaction was significant and involved the transfer of assets not only in China but also the US. New York firm Simpson Thacher & Bartlett LLP advised JDS Uniphase on the US aspects of the deal.The deal was a collaborative effort for Deacons’ Asia network. Ian McCubbin, head of Deacons’ China business group in Australia led the team and worked on the ground in Fuzhou supported by Shanghai partner Elizabeth Cole, lawyers Diddy Wang and Star Zhang and Melbourne-based senior associate James Hains and lawyer Georgette Leader.
