Brickworks advised on acquisition of American company

Manufacturing and distribution business Brickworks has been advised on the acquisition of America’s fourth largest brickmaker.

Deal: KWM has advised Brickworks Limited on the acquisition of Glen-Gery, America’s fourth largest brickmaker. In a statement, KWM said it coordinated the due diligence, organised the US R&W insurance arrangements and helped draft and negotiate the New York law stock purchase and transition services agreements.

Key players: The KWM deal team was led by Partner David Friedlander and special counsel Matt Egerton-Warburton, who were assisted by Jo Ruitenberg, Mandy Tsang, Scott Bouvier and Lauren D’Ambrosio.

Deal significance: The transaction marks the first major offshore acquisition for the listed Australian entity, the firm said, with Glen-Gery to provide Brickworks entry into the large US market and long-term growth opportunities in a major global market.

“While a large percentage of our M&A transactions involve inbound acquisition of Australian companies and assets, we love supporting strong Australian companies making acquisitions offshore,” said Mr Egerton-Warburton.

Also commenting on the deal, Mr Friedlander said: “We are pleased to have advised Brickworks on this significant acquisition, and to assist with their expansion into the United States via an established and market-leading manufacturer.”
