Caltex embarks on ‘strategic alliance’ with Woolies

Herbert Smith Freehills has advised Caltex on what’s being described as a strategic alliance with Woolworths.

Deal: The alliance between Caltex and Woolworths extends and expands Caltex’s existing partnership with the supermarket giant. It will include a new fuel supply agreement and the creation of a convenience offering, wholesale food supply, and loyalty and redemption arrangements, a statement from HSF explained.

Key players: The Herbert Smith Freehills legal team was led by partners Tony Damian, Kristin Stammer and Stephen Dobbs, with assistance from executive counsel Melanie Bouton, special counsel Ian Reid, and senior associates Tess Mierendorff, Kwok Tang, Jayne Walker and Daniel Johnson.

HSF partners Liza Carver and Patrick Gay, along with senior associate Asa Tan led the competition aspects of the transaction.

Deal significance: HSF noted that transaction “bolsters Caltex’s position as the market-leading provider of transport fuel in Australia”, and enables Caltex to “continue realising benefits from its integrated supply chain”.

Partner Tony Damian added: “Caltex is a long standing client of the firm and we are delighted to be able to help on such a significant transaction”.

“The deal consisted of numerous complex and inter-related arrangements which required the various work streams made up of Caltex and Herbert Smith Freehills members to work seamlessly together,” he said.
