International tech start-up acquired

A global firm has advised an Australian resources company on adding an international, cloud-based platform to its portfolio.

Firm: DLA Piper (Orrex Resources)

Deal: Orrex Resources has acquired 100 per cent of Nvoi.

Key players: The team advising Orrex Resources was led by DLA Piper corporate partner Mark Burger (pictured), with assistance from corporate partner Marc Wilshaw, tax partner James Newnham, employment partner Brett Feltham and senior associate Dylan Burke.

Deal significance: Orrex Resources is an Australian resources company with gold exploration projects in Western Australia.

Nvoi is a cloud-based marketplace platform designed for candidates and hiring managers who are engaged in on-site temporary and contract work. The purpose of Nvoi is to enable a simpler and more profitable process for employees and companies.

The acquisition will see the platform rebranded to Nvoi Ltd.

“The Nvoi platform is uniquely positioned to serve the growing workforce market globally and DLA Piper is delighted to have advised Orrex on this transaction, which represents a significant milestone in the company’s future,” Mr Burger said.

RSM Australia advised Nvoi in the accounting aspects of the transaction, while Stuart Richardson of Blackwood Capital was the corporate adviser.
