1300Smiles sold to trans-Tasman dental operator

Thomson Geer has advised ASX-listed 1300Smiles on its sale to Abano Healthcare Group.

Key players: The Thomson Geer team was led by Brisbane partner Eugene Fung and included associate Thomas Gardner, special counsel Melanie Mitchell, consultant Tony Pane and lawyers Isabella Noon and Leane Zhang.

Deal significance: 1300Smiles is an ASX-listed Australian dental surgery chain that operates 33 dental practices and provides care to more than 180,000 patients a year.

Abano Healthcare Group is a trans-Tasman dental operator.

"The acquisition by a scheme of arrangement will see Abano Healthcare, which owns the Maven Dental chain in Australia and New Zealand's Lumino The Dentists network, acquire up to 84 per cent of 1300Smiles," a statement from Thomson Geer explained, noting that founder Dr Daryl Holmes OBE will retain the other 26 per cent.

Commenting further, lead partner Eugene Fung said: "We are pleased to have advised 1300Smiles on this transformational deal. It is the culmination of 30 years of work by founder Dr Daryl Holmes OBE and provides IPO shareholders who invested at $0.80 to realise their investment at $8.00".
