McCullough Robertson advised software provider GBST Holdings on its recent IPO. The firm provided intellectual property and corporate advise to the company, which is a provider of stock market transaction software. Now listed, the company’s shares are traded using its own software.

Intellectual property partner Malcolm McBratney led the team and senior associate Reece Walker was primarily responsible for drafting the prospectus and conducting the IPO process. McBratney said one of the key drivers for GBST was its proprietary software and its link with ASX clearing systems so IP considerations were paramount when valuing the company.

 
 

Minter Ellison advised Hong Kong Stock Exchange-listed Dah Sing Banking Group Limited on the acquisition of all the shares in a Hong Kong consumer finance company, Pacific Finance (Hong Kong) Limited, jointly owned by Jardine Matheson and JP Morgan, with a value of $158 million. Partner Fred Kinmonth and senior associate Brett Cameron headed the team and worked with Dah Sing to negotiate and finalise the terms of the transaction. The deal is subject to approval by the HK Monetary Authority.Kinmonth, who is head of the corporate practice in Asia, said thanks to streamlined decision making within Dah Sing the transaction was closed within the required timeframe.
