Phillips Fox recently acted for St. George Bank on the financing of a joint venture between Mirvac and interests associated with Robert Magid to acquire the Cairns International Hotel, to be run by Mirvac Hotels. Bill Chapman led the Phillips Fox team, assisted by senior associate Hugo Thistlewood in the firm’s Sydney office, and partner Rod Besley and senior associate Kristy Rosborough in the Brisbane office.

Coudert Brothers Sydney represented Mirvac through partner Peter Calov and Blake Dawson Waldron represented the Magid interests through partner Robert Seidler.

 
 

Hunt & Hunt advised US corporation Institutional Shareholder Services Inc. on the acquisition of an Australian business conducted by Proxy Australia Corporation in the corporate governance sector. The transaction created the Australian subsidiary in the proxy services business — a service that provides advice to funds managers, large investors and others in the financial services sector who outsource their requirement for independent and objective proxy voting and corporate governance research.

Hunt & Hunt provided strategic legal advice on the terms of the acquisition, full due diligence and negotiation of terms and conditions. Partners Frank Paton and Ashley Pelman led the Hunt & Hunt team, which included Katherine Polkinghorne.

Maddocks acted for Lasseters International Holdings, a listed Singapore Company on its $12 million acquisition of a controlling stake in the listed Cypress Lakes Group Ltd. The firm completed the due diligence for the transaction, advised on the structure of the deal, negotiated terms of the deal and advised on the corporate structure of Lasseters itself for the acquisition, as well as on foreign investments regulations and takeover regulations.
