A TEAM effort between Coopers Brewery and its co-counsel, Allens Arthur Robinson and Piper Alderman, led to the South Australian brewers’ successful defence of a takeover attempt by Lion Nathan.
Crouch said the matter was a complex and “most unusual” one due to Coopers’ constitution, which included pre-emptive rights. “Lion Nathan commenced a number of legal proceedings as well as a number of Takeovers Panel proceedings, so it was very intense.”
Also, as part of Coopers’ proposal it offered an alternative to the Lion Nathan takeover, which was a share buy-back arrangement, for which Allens prepared the documentation.
Crouch worked with partner Kylie Brown, senior associate Marcus Clarke, and partner Stuart McCullouch on the matter. For Gadens, Mark Gordon, James Dickson and Miles Crawley led the charge.
Mallesons Stephen Jaques acted for Lion Nathan, which also took an action represented by Minter Ellison.
