Firm: MinterEllison (VGI Partners Limited)
Value: $368.9 million IPO and $300 million capital raising
Area: Corporate
Key players: MinterEllison partners Daniel Scotti and Chris Allen led the deal, with support from senior associate Nicole Sloggett; lawyers Shaun Chung, Frank Mastroianni, Ashli Bergmann and Holly Robson; and graduates Una Kim, Clare Moran and William Ryan.
Deal significance: According to MinterEllison, VGI Partners Limited is a wealth manager specialising in global equities.
It has more than $2.1 billion in funds under management as at 31 March 2019, the firm highlighted.
VGI Partners Global Investments Limited is a listed investment company and is managed by VGI Partners Limited, it was reported.
MinterEllison outlined that its role included advising on the IPO, secondary capital raising, capital raisings, ASX listing, rights issues and entitlement offers, corporate transactions and funds formation.
The offer structure for the IPO was complex, since participation was contingent on having participated in the capital raising for VGI Partners Global Investments Limited, it was said.
Commenting on the deal, MinterEllison’s Mr Scotti said “the interrelated nature of the offerings posed novel legal and practical issues”.
“We thoroughly enjoyed working with VGI Partners, as well as our co-advisers, Moelis, Commonwealth Securities, Crestone, Wilsons, Ord Minnett and Deloitte,” he continued.
“We are delighted to have had the opportunity to assist our valued client, VGI Partners, on this complex transaction.”
